A: NAME

  1. THE NAME OF THE ASSOCIATION IS THE, SOUTH KIRKBY COLLIERY ANGLING CLUB. Formed in the year of 1962 and is a sub section of the SOUTH KIRKBY COLLIERY MINERS WELFARE SCHEME, a charity registered with the charity commission for England and Wales Registration No. 523945.
  2. THE ASSOCIATION HEADQUARTERS WILL BE BASED AT, THE SOUTH KIRKBY COLLIERY WELFARE SOCIAL CLUB STOCKINGATE, SOUTH KIRKBY, PONTEFRACT, WEST YORKSHIRE.

B: ADMINISTRATION

Subject to the matters set out below. The association and its property shall be administered and managed in accordance with this constitution by the members of the committee constituted by clause “F” of this constitution

C: OBJECTS

The associations objects (“THE OBJECTS”) are to promote the health and social wellbeing and to provide the necessary facilities for members of the association to take part in recreational angling activities. Members being persons paying a subscription to the association (set by the committee each year) irrespective of gender, colour or creed. Also activities set out below in clause D(9)

D: POWERS

In furtherance of the objects but not otherwise the committee may exercise the following powers with the agreement of its members.

  1. Power to raise funds and to invite and receive contributions provided that in raising funds the committee shall conform to any relevant requirements of the welfare and the law.
  2. Power to take on lease or buy any property for the achievement of the objects and to maintain and equip it for use.
  3. Power to any consents required by law to sell lease or dispose of all or any part of the property of The Association
  4. Power to insure all members for public liability while fishing at South Kirkby Colliery site ponds.
  5. Power subject to any consent required by law to borrow money and to charge all or part of the property of the association with the repayment of the money so borrowed.
  6. Power to employ such staff (who shall not be members of the committee) as are necessary for the proper pursuit of the objects.
  7. Power to co-operate with other charities voluntary bodies and statutory authorities operating in furtherance of the objects and to exchange information with them.
  8. Powers to appoint and constitute such advisory committees as the committee may think.
  9. Powers to allow others whom are not members to take part in the objects, for education and leisure time occupation.
  10. Power to do all such other lawful things as are necessary for the achievement of the object.
  11. Power to take the necessary steps to correct any adverse happenings within the association.

E: HONORARY OFFICERS

At the annual general meeting of the association the members shall elect from among themselves a chairman, a secretary and a treasurer who shall hold office from the conclusion of the meeting.

F: THE COMMITTEE

  1. The committee shall consist of not less than 7 members nor more than 11 members elected at the annual general meeting.
  2. All members of the committee shall retire from office after one complete year, but may be re-elected or re-appointed.
  3. The proceedings of the committee shall not be invalidated by the vacancy among their number or by failure to appoint or any defect in the appointment or qualification of a member.
  4. Nobody shall be appointed as a member of the committee who is aged under 18 or who would if appointed be disqualified under the provisions of the following clause.
  5. No person shall be entitled to act as a member of the committee whether on a first or any subsequent entry into office until after signing the minute book of the committee a declaration of acceptance and a willingness to act in the trust of the association.

G: DETERMINATION OF A MEMBERSHIP OF THE COMMITTEE A MEMBER OF THE COMMITTEE SHALL CEASE TO HOLD OFFICE IF HE OR SHE

  1. Is disqualified from acting as a member of the committee because of being expelled from office Previously
  2. Is absent with out the permission of the committee from all their meetings held within a period of six months and the committee resolve that his or her office be vacated or
  3. Notifies the committee a wish to resign but only if at least three members of the committee remain in office when the notice of resignation is to take effect.

H: COMMITTEE MEMBERS NOT TO BE PERSONALLY INTERESTED

  1. No member of the committee shall acquire any interest in property belonging to the association (otherwise than a trustee for the association) or receive remuneration or be interested in (otherwise than as member of the committee) any contract entered into by the committee

I: MEETINGS AND PROCEEDINGS OF THE COMMITTEE

  1. Meetings of the committee and members will be held on the THIRD Sunday of the month at every meeting.
  2. The secretary or other person appointed by the committee. Shall keep a full record of proceedings.
  3. The chairman shall act as a chairman at meetings. But if chairman is absent from any meetings. The committee will choose one of their number to act as the chairman before business is transacted.
  4. There shall be a quorum when at least one third of the number of members of the committee, or three members of the committee which ever is greater are present at the meeting.
  5. Every matter shall be determined by the majority of voters of the members present, in the event of equality of votes of the chairman, shall have a second or casting vote.
  6. The meetings may wish from time to time make new rules for the conduct of their business. The summoning and conduct of their meetings and the conduct of members.
  7. Any rule that the meeting wish to alter must be voted on at three consecutive meetings. The conclusion resting on two of the three results.
  8. Any rule changes will be valid for a Minimum of one year
  9. The committee to have the power to cancel or amend any rule if that rule is deemed detrimental to our continued use of the ponds.

J: RECEIPTS AND EXPENDITURE

  1. The funds of the association including all donations contributions and bequests, shall be paid into a account operated by the committee in the name of the association at such bank as the committee may decide. All cheques drawn on the account must be signed by at least two of the committee trustees.
  2. The keeping accounting records for the association.
  3. The preparation and display of annual statements at annual general meeting.
  4. The funds belonging to the association shall be applied only in furthering the objects.

K: NOTICE

  1. Any notice required to be served on any member of the association. Shall be in writing and shall be served by the secretary of the association. Or the committee on any member either personally or by sending it through the post in a prepaid letter addressed to such member at his or her last known address in the United Kingdom any letter so sent will be deemed to have been received within 10 days of posting.

L: ALTERATIONS TO THE CONSTITUTION

  1. Subject to the following provisions of this clause the constitution may be altered by a resolution passed by not less than two thirds of the members present and voting at a general meeting, the notice of the general meeting must include notice of resolution, setting out the terms of the alteration proposed.
  2. No amendment may be made to clause “A” (the name of the association ) clause “C” (the objects clause ) clause “H” (committee members not to be personally interested clause ) clause “M” (the dissolution clause )
  3. No amendment to be made which would have the effect of making the association cease to be a association at law.

M: DISSOLUTION

  1. If the committee decides that it is necessary or advisable to dissolve the association it shall call a meeting of all members of the association of which not less than 21 days notice (stating the terms of the resolution to be proposed ) to be given. If the proposal is confirmed by two thirds majority of those present and voting the committee shall have power to realise any assets held by or on behalf of the association. Any assets remaining after the satisfaction of any debts and liabilities shall be given or transferred to such other institution or institutions having similar to the objects of the association. As the members of the association may determine.
